Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or the "User") and Linguaxco Ltd ("Linguaxco", "we", "us", or "our"), governing your access to and use of the website located at linguaxco.com, all associated pages, and all services, tools, and features made available by Linguaxco (collectively, the "Services").
By accessing or using our website or Services in any capacity — including as a visitor, client, language professional, or task contributor — you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must not access or use our Services.
These Terms apply to all users of the Services, including but not limited to: individuals browsing the website, organisations or companies engaging Linguaxco for language services, freelance language professionals who join our expert network, and task contributors who participate in the Linguaxco Task Marketplace.
If you are using our Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" shall include that organisation.
Definitions
For the purposes of these Terms, the following definitions apply:

| Content | Any text, data, files, audio, images, or other material uploaded to, transmitted through, or produced using our Services. |
| Deliverable | The completed output produced by a Language Professional or Task Contributor as part of a contracted project or task. |
| Intellectual Property | All patents, trademarks, trade names, service marks, copyrights, database rights, design rights, and any other intellectual property rights, whether registered or unregistered. |
Description of Services
Linguaxco provides intelligent language performance services to individuals, businesses, and organisations worldwide. Our Services include:
- AI Language Adaptation — AI-powered localisation and language adaptation services for digital products, content, and customer-facing materials, enhanced by human expert review.
- Translation & Subtitling — Professional human translation, document translation, and subtitle creation across all major language pairs and media formats.
- Interpreting Services — Consecutive and simultaneous interpreting for business meetings, legal proceedings, conferences, and events.
- 1-on-1 Language Classes — Personalised language tuition delivered by expert tutors, tailored to business, professional, or personal goals.
- Global Brand Management — Strategic language consultancy and multilingual brand positioning for organisations entering international markets.
- Linguaxco Hub — A managed platform connecting clients with vetted language professionals for ongoing or project-based engagements.
- Task Marketplace — An open platform where native speakers complete structured language tasks (validation, evaluation, dialect review, etc.) for compensation.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with reasonable notice where practicable. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of Services.
User Accounts & Registration
Certain features of our Services may require you to register for an account or provide personal information. When you do so, you agree to:
- Provide accurate, current, and complete information as prompted
- Maintain and promptly update your information to keep it accurate and complete
- Keep your login credentials confidential and not share them with any third party
- Take full responsibility for all activity that occurs under your account
- Notify us immediately at hello@linguaxco.com if you suspect any unauthorised use of your account
We reserve the right to suspend or terminate your account if we have reason to believe that the information you provided is inaccurate, false, or incomplete, or if you have violated any provision of these Terms.
You may not create an account on behalf of another person without their express authorisation, or use another person's account without their permission. Accounts are non-transferable.
Task Marketplace — Contributor Terms
If you participate in the Linguaxco Task Marketplace as a Task Contributor, the following additional terms apply to your engagement.
5.1 Eligibility
To participate as a Task Contributor you must be: (a) at least 18 years of age; (b) a genuine native or near-native speaker of the language(s) for which you apply; and (c) legally entitled to work and receive payment in your country of residence. By applying for a task, you confirm that you meet these requirements.
5.2 Nature of Relationship
Task Contributors are engaged as independent contractors, not employees, workers, or agents of Linguaxco. Nothing in these Terms or any task engagement shall create or imply an employment relationship, partnership, or joint venture between you and Linguaxco. You are solely responsible for your own tax obligations, social contributions, and any other statutory requirements arising from income received through the Task Marketplace.
5.3 Task Completion Standards
By accepting a task, you agree to:
- Complete the task honestly, using your genuine native language knowledge and personal experience
- Submit original work that has not been copied, plagiarised, or generated by an AI tool (unless the task explicitly instructs otherwise)
- Meet the stated deadline for each task step
- Follow all task-specific instructions provided in the task brief
- Not share, republish, or disclose task content or materials to any third party
5.4 Payment
Compensation for completed tasks is as stated in the task listing at the time of application. Payment is released in full upon satisfactory completion of all task steps, as determined by Linguaxco in its reasonable discretion. We reserve the right to withhold or reduce payment if submitted work is found to be incomplete, dishonest, plagiarised, or substantially non-compliant with the task brief. Payment disputes must be raised within 14 days of payment release or withholding by emailing hello@linguaxco.com.
5.5 Intellectual Property of Submissions
By submitting completed task work, you grant Linguaxco a worldwide, royalty-free, irrevocable, perpetual licence to use, reproduce, adapt, publish, and distribute your submissions for the purposes described in the task brief and our Privacy Policy. You retain no further rights in submitted work once payment has been made, unless expressly agreed otherwise in writing.
Client Terms — Commissioning Services
If you engage Linguaxco as a client to deliver language services, the following terms apply in addition to any specific project agreement or statement of work.
6.1 Quotations & Agreements
All service engagements are subject to a written quotation or proposal issued by Linguaxco. A binding contract is formed when you accept a quotation in writing (including by email) or by making payment of a deposit where applicable. No verbal agreement shall be binding.
6.2 Client Responsibilities
You agree to provide Linguaxco with all materials, information, and access necessary to deliver the agreed services, in a timely manner. Delays caused by late provision of materials may result in revised delivery timelines and, where applicable, additional charges. You are responsible for ensuring that any materials you provide do not infringe any third-party intellectual property rights.
6.3 Payment Terms
Unless otherwise agreed in writing, payment is due within 14 days of the date of invoice. We reserve the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate per annum (or as permitted by applicable law), and to suspend delivery of services for any client with outstanding overdue amounts.
6.4 Revisions & Acceptance
Deliverables shall be considered accepted unless you raise specific, written objections within 7 business days of delivery. Revision requests outside the agreed scope may be subject to additional charges. Any revision request must clearly identify the issue, and Linguaxco's obligations are limited to correcting genuine errors against the agreed brief.
6.5 Confidentiality
We treat all client materials and project information as strictly confidential. We will not disclose your materials to any third party other than the language professionals engaged to complete your project, who are themselves bound by confidentiality obligations. We will enter into a separate Non-Disclosure Agreement (NDA) upon request.
Intellectual Property
7.1 Linguaxco's Intellectual Property
All content on the Linguaxco website — including text, graphics, logos, icons, images, audio clips, software, and the overall design and structure of the site — is the property of Linguaxco Ltd or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of our website or its content without our express prior written consent.
7.2 Client IP in Delivered Projects
Upon receipt of full payment for a contracted project, Linguaxco assigns to the Client all intellectual property rights in the Deliverables produced specifically for that Client, to the extent permitted by law. Linguaxco retains the right to use anonymised or aggregated data derived from projects for internal quality improvement and AI training purposes.
7.3 Source Materials
Clients retain all intellectual property rights in source materials provided to Linguaxco for translation, adaptation, or other processing. You represent and warrant that you have the right to provide such materials and grant Linguaxco the right to process them as required to deliver the Services.
7.4 Feedback
If you provide Linguaxco with feedback, suggestions, or ideas regarding our Services, you grant us a non-exclusive, worldwide, royalty-free licence to use, incorporate, and build upon such feedback without any obligation to compensate you.
Acceptable Use
You agree to use our Services only for lawful purposes and in a manner that does not infringe the rights of any third party or restrict or inhibit anyone else's use and enjoyment of the Services. Without limiting the generality of the foregoing, you must not:
- Use the Services to transmit, distribute, or store material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Submit false, misleading, or fraudulent information in any application, form, or communication with Linguaxco
- Misrepresent your language abilities or qualifications when applying for tasks or expert engagements
- Use automated tools, bots, or scripts to apply for tasks, submit task work, or interact with the website
- Attempt to gain unauthorised access to any part of our website, systems, or data
- Use our Services to infringe any third party's intellectual property rights
- Use AI-generated content as your own task submission without explicit written authorisation from Linguaxco
- Engage in any conduct that could damage, disable, overburden, or impair our website or servers
- Circumvent, disable, or interfere with any security features of the Services
- Use the Services to solicit or recruit Language Professionals or Task Contributors away from Linguaxco for competing engagements
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing or restricting access to content, suspending or terminating accounts, and reporting violations to relevant authorities.
Confidentiality
Each party acknowledges that in connection with the Services, they may receive or have access to information of a confidential or proprietary nature belonging to the other party ("Confidential Information").
Each party agrees to:
- Keep all Confidential Information strictly confidential and not disclose it to any third party without the disclosing party's prior written consent
- Use Confidential Information solely for the purpose of performing or receiving the Services
- Apply at least the same standard of care to protecting the other party's Confidential Information as it applies to its own confidential information, and in any event no less than reasonable care
- Promptly notify the other party upon becoming aware of any actual or suspected unauthorised disclosure of Confidential Information
These obligations do not apply to information that: (a) is or becomes publicly known through no act or omission of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives reasonable prior written notice to the disclosing party where permitted to do so.
Confidentiality obligations under these Terms shall survive termination or expiry of any agreement between the parties for a period of 5 years.
Disclaimers & Warranties
10.1 General Disclaimer
Our website and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Linguaxco expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.2 Service Availability
We do not warrant that the website will be continuously available, uninterrupted, error-free, or free from viruses or other harmful components. We may carry out maintenance, updates, or improvements to our Services at any time, which may result in temporary unavailability.
While we take quality seriously and work with skilled language professionals, Linguaxco does not warrant that any translation, interpretation, adaptation, or other language output will be entirely accurate, complete, or suitable for any specific legal, medical, or regulatory purpose. For high-stakes use cases, independent specialist review is always recommended.
10.3 Third-Party Content
Our website may contain links to third-party websites or services. We do not endorse, control, or assume any responsibility for the content, privacy practices, or availability of such third-party sites. Accessing third-party links is at your own risk.
Limitation of Liability
To the fullest extent permitted by applicable law:
- Linguaxco's total aggregate liability to you for any claims arising out of or in connection with these Terms or our Services shall not exceed the greater of: (a) the total fees paid by you to Linguaxco in the 12 months immediately preceding the event giving rise to the claim; or (b) £500 (five hundred pounds sterling).
- Linguaxco shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business, goodwill, or anticipated savings, even if we have been advised of the possibility of such damages.
- Linguaxco shall not be liable for any failure or delay in performance of our obligations arising from circumstances beyond our reasonable control (see Force Majeure, Section 15).
Nothing in these Terms shall limit or exclude Linguaxco's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Linguaxco Ltd and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any applicable law or regulation
- Your use of the Services in violation of these Terms or any third-party rights
- Any Content you submit, post, transmit, or otherwise make available through the Services
- Your misrepresentation of your identity, language abilities, or qualifications
- Any claim that materials you provided to Linguaxco infringe the intellectual property rights of a third party
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with our defence of such claim.
Privacy & Data Protection
Your privacy is important to us. Our collection and use of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your personal data as described in the Privacy Policy.

Termination
14.1 Termination by You
You may stop using our Services at any time. If you have a registered account, you may request deletion of your account by contacting us at hello@linguaxco.com. Termination of your account does not affect any rights or obligations that arose prior to termination, including any outstanding payment obligations.
14.2 Termination by Linguaxco
We reserve the right to suspend or terminate your access to the Services, with or without notice, for any of the following reasons (without limitation):
- Breach of any provision of these Terms
- Conduct that we reasonably believe is harmful to other users, third parties, or Linguaxco
- Provision of false or misleading information
- Non-payment of fees due
- Any other reason that we determine, in our sole discretion, makes continued access inappropriate
14.3 Effect of Termination
Upon termination, all licences granted to you under these Terms shall immediately cease. Any provisions of these Terms that by their nature should survive termination shall do so, including Sections 7 (Intellectual Property), 9 (Confidentiality), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 17 (Governing Law).
Force Majeure
Linguaxco shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, fires, earthquakes, or extreme weather events
- Pandemic, epidemic, or public health emergency
- Acts of war, terrorism, civil unrest, or government action
- Industrial disputes, strikes, or labour actions (other than those involving Linguaxco's own staff)
- Failure of third-party telecommunications, internet, or hosting services
- Any change in applicable law or regulation that prevents or restricts performance
In the event of a force majeure event, we will notify you as soon as practicable and will use reasonable endeavours to resume performance as soon as possible. If the force majeure event continues for more than 30 consecutive days, either party may terminate the affected project or engagement on written notice, with neither party having liability to the other save for payment for services already performed.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Post a notice on our website where appropriate
- For significant changes affecting active clients or Task Contributors, provide notice by email at least 14 days before the changes take effect
Your continued use of our Services after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Services and, if applicable, request closure of your account.
We recommend bookmarking this page and reviewing it periodically. The date at the top of the page always reflects the most recent version. These Terms dated 17 March 2026 supersede all previous versions.
Governing Law & Dispute Resolution
17.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
17.2 Jurisdiction
Subject to clause 17.3 below, each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
17.3 Dispute Resolution Process
Before commencing any formal legal proceedings, the parties agree to attempt to resolve any dispute informally by contacting us at hello@linguaxco.com. We will endeavour to respond and attempt to resolve the matter within 30 days. If the dispute cannot be resolved informally, either party may refer it to mediation through a recognised mediation body before pursuing litigation.
17.4 Consumer Rights
If you are a consumer resident in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Nothing in these Terms affects your statutory rights as a consumer under applicable law.
General Provisions
18.1 Entire Agreement
These Terms, together with any specific project agreement, statement of work, and our Privacy Policy, constitute the entire agreement between you and Linguaxco with respect to the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
18.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.
18.3 Waiver
No failure or delay by Linguaxco in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach shall not be construed as a waiver of any subsequent breach.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Linguaxco may assign its rights and obligations under these Terms to any group company or in connection with a merger, acquisition, or sale of all or substantially all of its assets, without your consent, provided that we notify you of such assignment.
18.5 Notices
All formal notices under these Terms must be sent in writing to hello@linguaxco.com. We will send notices to the email address you have provided to us. Notices are deemed received on the next business day following transmission where no delivery failure notification is received.
